By accessing or using this website, including all related services, systems, platforms, players, and applications, you agree to voluntarily consent to any and all Terms of Service found herein.

KOID has the right to modify these Terms of Service agreement at our discretion, and the terms will become effective immediately upon publication to this website. The version of these Terms of Service in effect at the time an event ticket is purchased will govern that transaction.

Satisfaction Policies

We provide the ticketing software used to process ticket sales and admissions for the events on this website, including streamed events. We are not responsible for the production, experience or cancellation of events on our system. If you are unsatisfied with your experience with an event listed on the KOID system, you must speak to a valid representative of the event or venue.

Status as Content Provider

KOID is not responsible for any content posted or displayed on any page within the KOID website by our registered users (including event promoters). Such information does not represent the viewpoints or opinions of our company. KOID cannot be held responsible for any agreements, contracts, unfulfilled promises or any communication made between an event promoter and a third party. KOID is not responsible for any illegal or unlawful material — including defamatory, indecent, pornographic, obscene, otherwise objectionable or harmful, or copyrighted material — posted to an event page by an event promoter on our system or otherwise provided by users to, through, or using this website.

Accuracy of Information

Users of any of KOID services certify that any information provided to us is complete and accurate. KOID will make every effort to validate the billing information you provide to us; however, if we are unable to do so, we reserve the right to cancel your tickets or prohibit you from using this website.

Alteration of Event Listings

KOID reserves the right to expunge any event from the KOID website at any time, under any circumstances, and for any reason.

Refund Policies

KOID is unable to offer refunds after a ticket has been purchased; however, a refund may be issued when an event is canceled.

If an event is canceled, a refund in the amount of the face value of the ticket will be issued to customers who purchased tickets. Service, delivery and transaction fees will not be refunded.

The event promoter will have control over any refund availability and duration. You understand and acknowledge that KOID cannot, and has no obligation to, issue refunds unless and until KOID actually receives all such corresponding funds from the applicable event promoter.

Postponed Events

If an event is postponed to a later date, it is the event promoter’s responsibility to update the listing and notify KOID. In such a case, the event’s promoter is required to accept outdated tickets at the door for entrance into the event. For tickets distributed electronically, the event’s promoter shall be responsible for updating electronic tickets to reflect the postponement of the event.

KOID Ticket Purchasing Fees

Non-refundable service fees may be added to each ticket and/or order. By purchasing tickets from KOID, you agree to pay these fees and understand that the fees will not be refunded under any circumstances. The customer is responsible for any carrier fees associated with mobile ticket delivery.

Acceptable Methods of Payment

KOID currently accepts Visa, MasterCard, American Express (AMEX), and Discover credit/debit cards for payment. All transactions will post a KOID memo on your billing/bank statement.

Privacy Policies

Privacy policies are outlined in the KOID Privacy Policy. By agreeing to these terms of service, you are also agreeing to the terms set forth in the KOID  Privacy Policy.

Refusal of Services

KOID reserves the right to bar any user from use of any or all of KOID services at any time, under any circumstances, and for any reason. Violation of any of the guidelines below will always result in such punitive action.

Illegal Content

Posting or linking to any illegal or unlawful content — including defamatory or copyrighted materials — on the KOID website will result in the termination, without compensation or liability to you, of all services that KOID provides.

Prohibited Content

Posting any of the following on theKOID website may result in the termination, without compensation or liability to you, of all services that KOIDprovides:

•         Any communication that incites or promotes racism, sexism, homophobia, bigotry or physical harm to others
•         Any communication that promotes harassment of others
•         Any pornographic or sexually explicit material
•         Any communication that solicits personal information for commercial or advertising purposes that is not otherwise approved by KOID
•         Any communication intended to engage others in commercial activities that is not otherwise approved by KOID

Ticket Purchasing Limits

In order to discourage unfair ticket purchase practices, event promoters may set maximum limits for the number of tickets purchased per person. KOID is not responsible for these limits, nor are we able to circumvent them in any way. Any attempted or actual circumvention of these limits by a customer will result in the termination, without compensation or liability to you, of any further use of any KOID services and the nullification of any tickets purchased.

Unlawful Ticket Reselling

KOID in no way condones the unlawful resale of tickets. Any unlawful attempt to resell tickets purchased through KOID will result in KOID terminating those tickets without compensation or liability to you, as well as the customer being barred indefinitely from use of any KOID services.

Violation of Terms

If you violate any of the terms herein, KOID reserves the right to terminate your account, bar you from using any KOID services, cancel any ticket orders and take appropriate legal action, in each case without compensation or liability to you.

INDEMNITY FOR THIRD-PARTY ACTIONS

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, RELEASE AND HOLD HARMLESS KOID, ITS AFFILIATES, AND THEIR RESPECTIVE LICENSORS AND SUPPLIERS (COLLECTIVELY, THE “KOID PARTIES”) FROM AND AGAINST (I) ALL CLAIMS, LOSSES, LIABILITIES, SETTLEMENTS, FINES, PENALTIES, ACTIONS, LAWSUITS AND LEGAL ACTIONS BROUGHT BY ANY THIRD PARTY AGAINST ANY OF THE KOID PARTIES ARISING FROM OR RELATING TO (A) YOUR USE OF THE KOID SYSTEM, THE KOID WEBSITE, OR ANY SERVICES OFFERED BY KOID; (B) YOUR VIOLATION OF THESE TERMS; (C) ANY CONTENT OR FEEDBACK YOU PROVIDE; (D) YOUR VIOLATION OF ANY LAW OR THE RIGHTS OF ANY THIRD PARTY; OR (E) ANY ALLEGATION THAT THE CONTENT YOU PROVIDE OR DATA OR INFORMATION YOU INPUT INTO THE KOID SYSTEM OR WEBSITE INFRINGES, MISAPPROPRIATES, OR VIOLATES THE INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY (COLLECTIVELY, “THIRD-PARTY ACTIONS”); AND (II) ANY AND ALL LOSSES, DAMAGES, LIABILITIES, SETTLEMENTS, JUDGMENTS AND EXPENSES (INCLUDING PAYMENT OF THE KOID PARTIES’ ATTORNEYS’ FEES AND COSTS) INCURRED BY ANY OF THE KOID PARTIES, ASSESSED OR FOUND AGAINST ANY OF THE KOID PARTIES, OR MADE BY ANY OF THE KOID PARTIES, RELATING TO OR ARISING FROM ANY SUCH THIRD-PARTY ACTION (COLLECTIVELY, “THIRD PARTY RELATED LOSSES”).

YOU UNDERSTAND AND AGREE THAT YOUR INDEMNIFICATION OBLIGATIONS TO THE KOID PARTIES APPLY EVEN IF SUCH THIRD-PARTY ACTION AND THIRD PARTY RELATED LOSSES ARISE FROM THE NEGLIGENCE OF ANY KIND OR DEGREE, BREACH OF CONTRACT OR WARRANTY, STRICT LIABILITY, NON-COMPLIANCE WITH APPLICABLE LAW, OR OTHER FAULT OR WRONGDOING OF ANY OF THE KOID PARTIES.

HOWEVER, NOTHING CONTAINED HEREIN SHALL BE CONSTRUED TO REQUIRE ANY INDEMNIFICATION THAT WOULD RENDER OR MAKE THIS CLAUSE, IN WHOLE OR IN PART, VOID AND/OR UNENFORCEABLE UNDER APPLICABLE LAW. FURTHER, YOUR INDEMNIFICATION OBLIGATION SHALL NOT APPLY TO ANY WILLFUL, WANTON, INTENTIONAL OR RECKLESS MISCONDUCT OF THE KOID PARTIES, OR GROSS NEGLIGENCE OF THE KOID PARTIES IN THOSE STATES THAT DO NOT PERMIT INDEMNIFICATION FOR GROSS NEGLIGENCE.

“THIRD PARTY” INCLUDES, AMONG OTHERS, OTHER USERS OF THE KOID WEBSITE, YOUR SPOUSE, PARTNER, FAMILY MEMBERS, GUESTS, NEIGHBORS, OOMMATES, TENANTS, AND EMPLOYEES, AND ANY INSURANCE COMPANY.

KOID reserves the right to assume the exclusive defense and control of any matter for which you are required to indemnify KOID and you agree to cooperate with our defense of such claims. You agree not to settle any such claim without KOID prior written consent.

DISCLAIMER OF WARRANTIES

KOID’ WEBSITE AND SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT ANY WARRANTY OF ANY KIND. KOID DOES NOT WARRANT OR GUARANTEE THE QUALITY, COMPLETENESS, TIMELINESS, OR AVAILABILITY OF THE WEBSITE OR SERVICES. KOID DOES NOT WARRANT OR GUARANTEE THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT ANY DEFECTS IN THE WEBSITE OR SERVICES WILL BE CORRECTED, OR THAT THE WEBSITE OR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL CONDITIONS OR COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOID EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE WEBSITE AND SERVICES, INCLUDING WITHOUT LIMITATION THOSE REGARDING AVAILABILITY, QUALITY, ACCURACY, MERCHANTABILITY, FITNESS FOR ANY USE OR PURPOSE, COMPATIBILITY WITH ANY STANDARDS OR USER REQUIREMENTS, TITLE, AND NONINFRINGEMENT, AS WELL AS ANY ARISING BY OPERATION OF LAW OR FROM A COURSE OF DEALING OR USAGE IN TRADE. KOID HAS NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MISDELIVERY, OR FAILURE TO STORE ANY CONTENT OR USER COMMUNICATION.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE KOID PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE, OR ANY OTHER LOSS OR DAMAGE OF ANY KIND, ARISING OUT OF OR IN CONNECTION WITH KOID’ WEBSITE OR SERVICES (INCLUDING YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SAME), WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR OTHERWISE, AND EVEN IF A KOID PARTY HAS EXPRESS KNOWLEDGE OF THE POSSIBILITY OF THE LOSS OR DAMAGE. YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP ACCESSING AND USING THE SERVICE.

WITHOUT LIMITING THE FOREGOING, IN NO EVENT WILL KOID PARTIES’ LIABILITY TO YOU EXCEED $50, EVEN IF THIS REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

KOID is not responsible for any content or services provided by or made available through any websites outside of the KOID website. This includes any content posted on the event organizer’s website or on any sites linked from the event pages.

Payment Plans

If you select a payment plan during checkout, your tickets will be reserved at the time of purchase. We will charge your credit card at the time of purchase and again automatically on all dates designated in your payment plan. Once your account is paid in full, your tickets will be delivered. If we are unable to process any scheduled payment, we will contact you to update your payment information. If you do not complete your payments as planned, your order may be subject to cancellation, and you will forfeit any payments. This decision is left to the discretion of the event organizer. Please note that if the order is canceled, you will lose your ticket reservation, and the tickets will be returned to the inventory for another customer to purchase.

Advertising

We use third-party advertising companies to serve ads after you visit our website. These companies may use information (not including your name, address, email address or telephone number) about your visits to this and other websites in order to provide advertisements about goods and services of interest to you. Age Requirements

Children under the age of 13 are prohibited from using KOID. KOID does not knowingly collect or use information from children under 13 through the KOID Service.

Acceptable Use

KOID grants you a non-exclusive right to access the KOID Service for the purposes of browsing the site, searching for events, registering for events, and interacting with events, organizers, and KOID. The following uses of the Service — including the site and all functions therein — are strictly forbidden:

•         Using the Service in any way that violates the Terms of Service;
•         Using the Service in any way that breaches any applicable local, national, or international laws and regulations;
•         Attempting to reverse engineer, disassemble, decompile, or otherwise disclose the underlying source code or infrastructure of the Service;
•         Using the Service for fraudulent activity or activity that facilitates fraud;
•         Using or enabling others to use bots, scrapers, spiders, or any other automated means to access the Service for any purpose without the written permission of KOID;
•         Using or enabling others to use the Service in a way that imposes what KOID deems to be an illicit, excessive, or unnecessarily heavy burden on our infrastructure, regardless whether such activity is an intentional attempt to interfere with the proper operation of the Site;
•         Bypassing or enabling others to bypass any measures we take to restrict access to unauthorized areas of the Service.
